The Constitution
Article I. :Name
The name of this organization shall be "The Selby Community
Association, Incorporated".
Article II. :Purpose
To work for the betterment and protection of the Selby community,
care for the common property, and the interest of the members. To
maintain this "Association" as a non-profit,
non-sectarian and non-partisan organization.
Article III. :Membership
Any property owner in Selby, North Selby, Selby Heights or Cedar
Grove, all of which is a community known as "Selby on the
Bay", and any property owner whose property borders on one
of the roads in the Community of Selby on the Bay, who has
received approval of an application for membership and has agreed
to effectuate the purpose of this Association shall be a member.
An Associate Membership shall be available to those persons who
have been residents of the Community of Selby on the Bay for the
preceding six months or hold a year's lease, and to close family
relatives of property owners, holding active membership in this
Association, who have been approved. An Associate Membership
shall not have voting privileges nor shall be eligible to hold an
office in this Association.
Article IV. :Meetings
There shall be at least two regular meetings held each year, the
time, purposes and place for which shall be specified by the
By-laws, and also such other meetings as may be deemed necessary
during the year.
Article V. :Amendments
This constitution may be amended at any time by the presentation
of such amendment in writing with the signatures of 15% of the
paid membership at any regular meeting. Such amendment shall be
read by the Secretary and then lie on the table until the next
regular meeting, when it may be taken up and acted on. A vote of
two-thirds of the members present shall be necessary to the
adoption of the amendment. Notice containing the proposed
amendment shall be mailed by the Secretary to all members at
least ten days prior to the date of the meeting at which it is to
be acted on.

Article III. :Membership
Section 1.
Membership shall be limited to property owners of Selby, North
Selby, Selby Heights, and Cedar Grove all of which is a Community
known as Selby on the Bay, and to any property owner whose
property borders on one of the roads in the Community of Selby on
the Bay, who have been approved by membership in a regular
meeting.
Section 2.
Voting privileges in this Association shall be limited to members
in good standing only. Each membership shall be entitled to two
votes.
Section 3.
Social and recreational privileges of membership shall extend to
the personnel of member families, house guests, tenants and
residents, except as provided in Section 2.
Section 4.
An Associate Membership shall be available to those persons who
have been residents of this community for the preceding six
months or hold a year's lease, and to close family members of
property owners, holding active membership in this Association,
who have been approved. An Associate Membership shall not have
voting privileges nor shall he(she) hold an office in this
Association.
Section 5.
Membership in this Association shall be by written application
and approval of the membership, by majority vote, in regular
meeting.
Article IV. :Officers
The Officers of this Association shall consist of a President,
Vice-President, Financial Secretary, Recording Secretary,
Treasurer, Special Tax Officer, Zoning Officer, and three (3)
Trustees, whose duties shall be as defined in the By-laws. The
principal officers, excluding trustees, must either be a
year-round resident of Selby on the Bay or a property owner in
Selby on the Bay and reside year-round winthin a 10 mile radius
of Selby on the Bay.
Article V. :Board of Directors
Section 1.
The Board of Directors, consisting of the elected Officers,
Trustees and the Chairmen of the Clubhouse, Parks and Beach, Ways
and Means, Social, Roads, Sanitation and Restriction, and Police
and Fire Protection Committees, shall be vested with full
authority to act for said Association, and in its name, and its
acts shall not be invalidated or brought into question except
that said Board shall carry out any resolution or instruction as
may be passed by the Association at any regular or special
meeting.
Section 2.
The Board of Directors shall not incur any obligations that are
not specifically authorized by the Association or by these
By-laws, except the purchase of necessary supplies and in
connection with the maintenance of the Association or Community
property.
Article VI. : Meetings
Section 1.
The Annual Meeting of the Association shall be held in the
Clubhouse at Selby on the Bay on the third Sunday of August at
3:00 PM at which time the Officers, Committee Chairmen, and
Nominating Committee shall be elected.
Section 2.
At the Annual Meeting the Officers and Committee Chairmen will
present reports and recommendations for the advancement of the
Association.
Section 3.
The Installation Meeting of the Association shall be held in the
Clubhouse at Selby on the Bay on the first Sunday of October at
3:00 PM at which time the newly elected Officers and Committee
Chairmen shall take office immediately upon being sworn in.
Section 4.
Other regular meetings of said Association shall be called by the
President on request of a majority of the Board of Directors or
on request in writing of 25% of the membership of the
Association, and the membership shall be notified, in writing at
least seven (7) days prior to said meetings which shall be held
at the Clubhouse at Selby on the Bay, the date and time to be
determined by the President or the Board of Directors.
Section 5.
The Board of Directors shall meet, as required, to formulate the
provisions of Article V.
Section 6.
All meetings of this Association shall be conducted under the
provisions of "Roberts Rules of Order".
Article VII. :Elections
Section 1.
The Officers and elected Committee Chairmen shall be elected at
the regular meeting in August of each year. Majority vote of the
members present shall elect.
All newly elected Officers and Committee Chairmen stall take
office upon installation at the regular meeting in October of
each year.
Section 2.
The Officers and elected Committee Chairmen shall be elected to
serve for one year. All shall be eligible for more than one term,
except the President and Vice-President, whose service shall be
limited to two consecutive terms.
Section 3.
There shall be a separate balloting for each elected office.
Nominations shall be accepted from the floor for each office.
Article VIII. :Duties of Officers
President - The President shall preside at all meetings of the
Association, decide all questions or disputes not controlled by
the By-laws of the Association, and sign all checks in the
absence of the Treasurer. He shall give bond in such amount as
the Board of Directors shall prescribe, the premium thereon to be
paid by the Association.
He shall appoint all Committee Chairmen not provided for through
election, including an Auditing Committee comprised of three (3)
to make annual audit of the books and report to the membership at
its August Meeting. The President shall appoint a member to fill
the unexpired term of any office vacated. He shall preside at all
meetings of the Board of Directors, and appoint a President
"pro tem" to install the newly elected officers and
perform such other duties as may be required of him by the
Association.
Vice-President- The Vice-President shall preside at all meetings
in the absence of the President and in case of death, removal or
resignation of the President, the Vice-President shall become the
President and serve as such until the next regular election and
installation of his successor in office.
Financial Secretary- The Financial Secretary shall receive all
dues and other monies from any source for the benefit of the
Association. He (She) shall keep a true account of all receipts
and expenses of the Association, draw all orders on the Treasurer
when passed by the Association and attest same by his (her)
signature. He (She) shall turn over all monies received by him
(her) to the Treasurer and take a receipt of the Treasurer
therefore, and keep a correct account between the Association and
its members in books provided for that purpose, preparing and
submitting monthly Financial Statements at each meeting. He (She)
shall submit his books to the Auditing Committee when requested
to do so. For the faithful performance of these duties the
Association shall pay to the Financial Secretary a sum equal to
$.50 (fifty cents) per annum for each active membership on the
roll of the Association payable at the close of each fiscal year.
Recording Secretary- The Recording Secretary shall keep a true
record of the proceedings of all meetings, correspondence, and
files of the Association and the Board of Directors, and conduct
the correspondence of the Association.
Treasurer- The Treasurer shall receive all funds turned over to
him by the Financial Secretary, giving his receipt therefore. He
(She) shall keep them in such bank or banks as the Board of
Directors shall prescribe. He (She) shall disburse funds as
authorized by the membership. The Treasurer shall give bond in
such amount as the Board of Directors shall prescribe, the
premium thereon to be paid by the Association. He (She) shall
submit his books to the Auditing Committee when requested.
Special Tax Officer- The Special Tax Officer shall receive the
Special Tax Assessment monies turned over by the Department of
Finance of Anne Arundel County. He (She) shall keep them in such
bank or banks as the Board of Directors shall prescribe. He (She)
shall disburse funds as authorized by the membership upon
approval of the Budget Office of Anne Arundel County, with which
a Budget Report is filed by the thirty-first (31st) of December
of each year. The Special Tax Officer shall give bond in such
amount as the county authorities shall prescribe, the premium
thereon to be paid by the Association.
Zoning Officer- Responsibilities include monitoring Selby on the
Bay property owner's compliance with the zoning regulations of
Anne Arundel County and the State of Maryland, and notifying the
Association's other Directors and Officers of occurrences of
non-compliance with zoning regulations which may require further
action by the Association.
Trustees- The Trustees shall have charge of all property
belonging to the Association, actively manage the Snack Bar,
inventory the common property of the Association, and make their
report at the August Meeting.
Article IX. : Dues
Section 1.
The annual membership dues of this Association shall be fixed
each year by recommendation of the Board of Directors, to be
approved by the membership at the meeting in August.
Section 2.
Said dues shall be due and payable on January First (1st) of each
year, in advance.
Article X. : Elected Committee Chairmen
The following Committee Chairmen shall be duly nominated and
elected to office. Each shall select and appoint assistants as
required to meet the functions of his chairmanship, reporting
such appointees to the Recording Secretary.
Clubhouse Chairman - The Clubhouse Chairman shall be responsible
for the Clubhouse, the scheduling of use of the clubhouse
facilities, maintenance of equipment, etc. His (Her) duties shall
include all necessary activities, excluding those provided for
under Trustees, Article VIII.
Parks and Beach Chairman - The Parks and Beach Chairman shall
have charge of the maintenance, improvements and care of the
dedicated Beach and Parks at Selby on the Bay, including the
Beach and Waterfront, and waters immediately adjacent.
Ways and Means Chairman - The Ways and Mean Chairman shall, by
December thirty-first (31st) of each year, prepare a budget of
the necessary expenses and submit the same to the Board of
Directors for approval, and shall find and provide the means for
meeting the expenses of the several activities of the
Association.
Social Chairman - The Social Chairman shall have charge of the
social activities at Selby on the Bay, provide such
entertainment, socials, receptions, and other events as shall
seem best fitted to promote the social spirit of the community.
Roads, Sanitation, and Restrictions Chairman - The Roads,
Sanitation and Restrictions Chairman shall have charge of
enforcement of all restrictions in the Selby Community connected
with buildings and sanitation, as required by the regulation of
Anne Arundel County and the laws of Maryland.
Police and Fire Protection Chairman - The Police and Fire
Protection Chairman shall have charge of policing of the Selby on
the Bay Community, and make provisions for protection against
fire. He (She) shall, when deemed necessary, and in accordance
with the laws of the State of Maryland, appoint policemen and
firemen, and have the same deputized by the proper authorities,
and each shall give bond in such amount as the county authorities
shall prescribe, the premiums thereon to be paid by the
Association. He ( She) shall see that the rules and regulations
promulgated by the Association are properly enforced.
Nominating Committee - The Nominating Committee shall consist of
three (3) members elected by the Association at its August
Meeting, to serve for the ensuing year; and said committee shall
nominate one or more candidates for each elected office. It shall
be incumbent on this committee to recognize any announced
candidate for any elected officer or chairmanship and to include
his (her) name on the ballot. The Nominating Committee shall
prepare proper ballots containing the full list of candidates to
be elected to office and chairmanships, and shall mail, or cause
to be mailed, a copy of said ballots to each member of said
Association, at least fifteen (15) days prior to the date of the
Annual Meeting.
Article XI. :Appointed Committee Chairmen
The following Committee Chairmen shall be appointed by the
President. Each shall select and appoint such assistants as
required to meet the functions of his Chairmanship, reporting
such appointees to the Recording Secretary.
Membership Chairman - The Membership Chairman shall receive all
applications for membership, determine that such application
meets the requirements of these By-laws, and submit same for
membership approval at the next regular meeting. He ( She) shall
encourage and direct the recruitment of new members for this
Association.
Sunshine Chairman - The Sunshine Chairman shall be responsible
for recognizing new residents, illnesses, deaths, births,
marriages, etc. In the family circumstances of the membership,
setting such uniform rules as the membership may approve.
Swim Team Director - The Swim Team Director shall plan, promote,
and direct the swim team of Selby on the Bay.
Teen Director - The Teen Director shall plan, promote, and direct
the activities of the teens of Selby on the Bay.
Children's Social Director - The Children's Social Director shall
plan, promote, and direct the activities for the children, below
teen level, of Selby on the Bay.
Publicity Chairman - The Publicity Chairman shall see that the
news of events of Selby on the Bay are well publicized.
Delegates - Two (2) Delegates shall be appointed to each of the
following organizations: The Mayo Civic Association, Inc. and The
Federation of South River Associations, Inc. They will represent
our Association at their meetings.
Legal Director - The Legal Director shall investigate into all
legal matters concerning this Association.
Article XII. : Quorum
Fifteen (15) members, in good standing, of the Association, shall
constitute a quorum of this Association, and seven (7) shall
constitute a quorum of the Board of Directors.
Article XIII. : Order of Business
(1) Pledge of Allegiance and Prayer.
(2) Reading of the Minutes of the previous meeting and their
approval.
(3) Election and introduction of new members.
(4) Treasurer's Report.
(5) Special Tax Officer's Report
(6) Financial Secretary's Report
(7) Reports of Standing Committees.
(8) Reports of Special Committees.
(9) Reports of Officers.
(10) Presentation and approval of appropriations and bills.
(11) Unfinished Business.
(12) New Business.
(13) Adjournment.
Article XIV. : Amendments
These By-laws may be amended at any time by the presentation of
such amendment in writing, with the signature of 5% of the paid
membership, at any regular meeting. Such amendment shall be read
by the Secretary and then lie on the table until the next regular
meeting when it may be taken up and acted upon. A vote of
two-thirds (2/3) of the members present shall be necessary to the
adoption of the amendment. Notice containing the proposed
amendment shall be mailed by the Secretary to all members at
least ten (10) days prior to the date of the meeting at which it
is to be acted on.
